Intellectual Property Agreement: MM/TTT
I. Parties
This Intellectual Property Agreement (the "Agreement") has been signed by and between the parties below, for the purpose of regulating the rules regarding intellectual property rights between the Parties;
"Owner" Rachel Nixon, individually, as well as on behalf of Everything Hand Tied, LLC and Mixed Methodologies
and "Trainee", the participant of the Everything Hand Tied program of Mixed Methodologies: Train the Trainer
The Owner and the Trainee shall be individually referred to as "Party" and collectively referred to as the "Parties".
WHEREAS, the Owner agrees to share intellectual property, to be known in this Agreement as the "Property", and related interests of their original work, designs, methods, and other work created by the Owner, with individuals who will learn and become acquainted with aforementioned intellectual property during the course of the Everything Hand Tied program of Mixed Methodologies: Train the Trainer.
II. Subject and Scope of the Agreement
The subject of this Agreement is the determination of ownership of all applications of and related to the materials that may be subject to intellectual property, which are comprised within the scope of the Mixed Methodologies: Train the Trainer program, in extent the method itself, Mixed Methodologies, and the teaching thereof, developed by the Owner, and the rights and obligations of the Parties regarding the application and commercialization activities of the Property.
III. Right and Obligation of the Parties
The Owner provides the Trainee with technical details and information, regarding the Property that they have developed, whether patentable or not, and is, to the best of their knowledge, as the "inventor" within the scope of the legislation regarding the Property.
The Owner undertakes to provide the necessary technical information to the Trainee for the successful execution of the Trainee to teach the Property (the method of "Mixed Methodologies") in a capacity of a platform that is owned, managed and operated by Everything Hand Tied, LLC.
The Trainee undertakes that he will not provide information to third parties on any matter related to the Property subject to this Agreement without the written consent of the Owner, and that he will not act in a manner that would harm the rights of the Parties arising from this Agreement.
The Trainee acknowledges and agrees that they are not authorized to stake a claim to the Property, nor to teach, distribute, or supply any segment or part of the Property, specifically the method of Mixed Methodologies or its form of education as developed by the Owner, in any capacity that is outside of the platform that is owned, managed, and operated by Everything Hand Tied, LLC.
IV. General Provisions
The Parties undertake that the commercial decision-making authority regarding the Property, or any aspect in relation to the Property is at the sole discretion and permission and decision of the Owner, Rachel Nixon, and Everything Hand Tied, LLC.
The Trainee undertakes that any decision related to the distribution or supply of the Property may only be made by the Owner, Rachel Nixon and Everything Hand Tied, LLC.
If any Party suspects that the Owner's rights to their Property have been or will be violated by a third party, they are obliged to notify the Owner without delay. If there is an infringement of the rights by a third party in cases such as the use, distribution and/or commercialization of the Property, as a result of actions taken by the Trainee, the liability arising from this infringement belongs to the Trainee.
V. Term of the Agreement
This Agreement shall remain in force for a period of indefinitely, unless otherwise agreed and submitted in writing by the Owner.
VI. Termination
This Agreement may only be terminated at any time by the Owner.
VII. Entire Agreement
This Agreement constitutes the entire understanding between the Parties with respect to the subject matter herein and supersedes all prior or contemporaneous agreements, negotiations, understandings, or representations, whether written or oral.
VIII. Non-Waiver
The failure of either Party to enforce any provision of this Agreement shall not be construed as a waiver of any subsequent breach or right to enforce any term or condition of this Agreement.
IX. Assignment
This Agreement and the rights and obligations herein may not be assigned or transferred by the Trainee. The Owner may assign its rights and obligations related to the intellectual Property at their discretion.
X. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of California.
